Article 1, Purpose
Since the company went public, its market value, visibility, and revenue have been on the rise. In order to ensure that employees do not succumb to external temptations and to maintain the company's reputation as it grows, this code of conduct has been established as a management guideline.
Article 2: Definition
- The definition of employees in the code refers to formal and contract employees of the company and its affiliated branches and subsidiaries who are protected by the Labor Standards Act based on the employment relationship.
- This code aims to regulate employees' conduct during official activities both inside and outside the company, including transactions and social engagements, to maintain integrity and honest credit behavior, and they must not use their position for personal gain.
Article 3, Responsible Units
The human resources department is responsible for the formulation of this code and ensuring its effective implementation.
Article 4, Content
- Honesty and integrity are the basic standards for the company and all employees. All employees should value integrity and practice honesty. Employees should be honest with customers and honest with colleagues.
- Diligence and responsibility are important ways for company employees to embody the code of integrity. Being courageous in taking responsibility, strict in self-discipline, adhering to principles, loyal to duties, serving with enthusiasm, and emphasizing efficiency, treating job responsibilities with a high sense of responsibility, and maintaining the company's reputation and shareholders' interests.
- Employees should cultivate and establish moral values of integrity and honesty, taking integrity as the foundation of their existence and as the basic code of professional conduct, reflecting the quality of integrity in their work. They should honor contracts and commitments to clients, colleagues, managers, and regulatory authorities, building the development and success of the enterprise and individuals on the foundation of integrity, and realizing the company's core values.
- Employees should adhere to proper performance presentation, accurately report work status, ensure the authenticity and reliability of accounting information and transaction records, ensure the integrity of business and financial reporting processes, and the accuracy of reported information. Falsifying accounts and reporting false performance is prohibited.
- It is prohibited to provide false information or intentionally mislead both internally and externally; all external statements are the responsibility of designated personnel.
- Employees have the obligation to comply with the current laws, regulations, and other regulatory requirements of our country and the company's operating behavior. They are obligated to adhere to the company's articles of association and perform their duties according to the company's current rules and regulations. If employees are uncertain whether they are violating laws, regulations, binding policies, or company rules, they should discuss the situation with the company's management department, human resources department, legal department, or general manager to avoid potential issues in the future.
- The principle of the company's business conduct is "integrity and fair trade." Company employees are prohibited from using illegal and improper means to engage in bribery to sell goods. When the company sells goods and services, if discounts need to be given to the other party, including but not limited to commissions to intermediaries, physical goods, etc., they must be provided in an explicit manner, along with possible supporting documents, and the finance department must be notified to record it accurately.
- If the company's suppliers or business partners offer employees improper benefits or bribes, or request employees to provide improper or illegal preferential treatment or business, employees should immediately report to their department supervisor and inform the management department for reporting and handling.
- When conflicts arise between personal interests, company interests, and the interests of business partners or work counterparts during work, report these conflicts immediately to the department supervisor.
- Prohibited from engaging in or instructing others to engage in or invest in economic activities that have competitive business relationships with the company or involve conflicts of interest.
- Prohibited from participating in discussions or meetings involving the employee themselves or their relatives regarding job appointments, promotions, or salary increases.
- Strictly adhere to the company's various confidentiality systems and, within the confidentiality period stipulated in the contract, undertake the obligation to keep the company's various confidential and client confidential information.
- Employees should use and protect company property reasonably, ensuring its proper use for legitimate business purposes of the company. It is prohibited to damage, waste, misappropriate, divert, or abuse company property in any way.
- The company advocates a culture of integrity, encouraging and protecting employees to truthfully report illegal, regulatory, and dishonest behaviors within the company.
Article 5, Penalties for Violations
Those who violate the provisions of this code may be reported by the human resources department for disciplinary action in accordance with the employee reward and punishment regulations.
Article 6, Implementation and Revision
This code of conduct shall be announced and implemented after approval by the general manager, and the same applies to revisions.
